This Agreeement is made between _______________________________________________, an educational consulting company (*hereafter referred to as REPRESENTATIVE) and A F INTERNATIONAL SCHOOL OF LANGUAGES INC. (hereafter referred to as AFI), for the purpose of student recruitment for courses given by AFI. I. REPRESENTATIVE RESPONSIBILITIES It is agreed that the REPRESENTATIVE will recruit students for programs offered by AFI in accordance with the following guidelines: A. REPRESENTATIVE shall contact students, university counselors, student agencies and businesses for the purpose of providing accurate information about AFI and its programs and for recruiting students into such programs. B. REPRESENTATIVE shall function as an independent contractor and shall not be an employee of AFI. REPRESENTATIVE shall be responsible for any and all business expenses and payment of any and all taxes and fees for its activities. C. REPRESENTATIVE shall provide student with AFI application forms and fee schedules. REPRESENTATIVE agrees that any additional fees charged to the student above and beyond those published on the fee schedule shall be fair and reasonable. AFI shall not be liable for performance in relation to any of these additional fees charged to the student by the REPRESENTATIVE. D. REPRESENTATIVE shall inform student of AFI's requirements regarding F-1 students. Specifically, that a student attending AFI be made aware that s/he must complete at least two four-week sessions at AFI before requesting a transfer to another language program. This requirement appears on the I-20 as well. E. REPRESENTATIVE is encouraged to visit AFI, meet the staff and students as well as become acquainted with AFI curriculum. student services, facilities and location. II. AFI RESPONSIBILITIES It is agreed that AFI will be responsible for and provide the following: A. REPRESENTATIVE shall provide all course planning, organization and administration; course development and content; instructional materials; instructors; and a Certificate of Completion for each student who successfully completes an AFI educational program. B. AFI shall provide program brochures, application terms and other promotional materials for the REPRESENTATIVE's use. C. AFI shall provide reasonable notice to REPRESENTATIVE of any and all fee adjustments and program changes. III. COMPENSATION FOR RECRUITING SERVICES A. Please refer to the Commission Plan for current Commission Rates and Student Fees. B. The Commission Plan is subject to change with reasonable notice. IV. APPLICATION AND PAYMENT PROCESS A. REPRESENTATIVE shall submit one (1) completed AFI Application for Admission, including all necessary documents for the issuance of the Form I-20 as stated on the Application for Admission and all applicable fees. B. AFI shall issue Form I-20, in accordance with the regulations of the U.S. Immigration and Naturalization Service, only upon receipt of the signed Application for Admission form and all necessary documents and fees as stated on the Application for Admission. A fax is acceptable. AFI shall send Form I-20 to the STUDENT or REPRESENTATIVE along with other necessary information such as the Letter of Acceptance, school orientation, health insurance and housing information. C. AFI shall retain all rights relating to the admission or non-admission of an applicant. D. AFI shall provide REPRESENTATIVE with gross invoice (for student) and net invoice (for REPRESENTATIVE) detailing cost of program. Student shall be made aware of AFI's program charges. E. REPRESENTATIVE shall send full payment of tuition less commission along with all other fees; application fee, housing, airport pick up and express mail payment (if applicable). (No commission may be deducted from application fee, housing and express mail fees). F. REPRESENTATIVE shall remit payment in U.S. dollars in the form of a U.S. Bank Check, Bank Wire Transfer, Traveler's Check, International Money Order or International Cashier's Check, made payable to "A F International School of Languages Inc." G. AFI shall send a statement to the REPRESENTATIVE indicating the names of the students who have arrived and are in attendance at AFI as well as an invoice of all commissions paid or to be paid to the REPRESENTATIVE. REPRESENTATIVE shall notify AFI of any discrepancies within 30 days of the statement. V. REPRESENTATIVE. REFUND POLICY A. Refunds are based on amounts paid to AFI and follow the policies set forth on AFI's Application for Admission. VI. TERMS OF AGREEMENT A. Should the student elect to continue studying at AFI after their prepayment of school fees, student shall be responsible for payment in full of all other fees directly to AFI (other than the application fee). No further commissions shall be paid to the REPRESENTATIVE. B. This agreement shall become effective upon signature of both REPRESENTATIVE and AFI and shall be valid for a period of one year. This agreement may be automatically renewed by notification in writing to AFI for an additional one-year period. C. Early termination of this agreement by either party shall be communicated in writing. Non-compliance to these terms shall invalidate this agreement. D. Any dispute, controversy or difference shall be resolved solely and excluselively under the laws of the State of California.
